TERMS OF USE AND PRIVACY POLICY

These Terms of Use and Privacy Policy (collectively, “Terms of Use”), govern your use of the one95.org website and, unless otherwise stated, to your use of any other website owned or operated by Green Light Project, Inc. d/b/a the Counter Extremism Project (“CEP”) or operated on behalf of CEP by a Service Provider or third party (collectively the “Website”).  The Privacy Policy does not apply to CEP’s activities on third party social networks.  Please read these Terms of Use carefully before using the Website.

I.    General Terms

    A.    Your Agreement to the Terms of Use

By using the Website, you agree to the Terms of Use in full.  Each time you use the Website, you reaffirm your acceptance of the then-current Terms of Use.  If you do not wish to be bound by the Terms of Use, your only remedy is to discontinue using the Website.

CEP may change the Terms of Use at any time and in its absolute and sole discretion.  The modified Terms of Use will be effective immediately upon posting and you agree to the new posted Terms of Use by continuing your use of the Website.  You are responsible for staying informed of any changes.  If you do not agree with the modified Terms of Use, your sole and exclusive remedy is to discontinue using the Website.

    B.    Proper Use of Our Site

You may not use the Website for any purpose that is unlawful or prohibited by the Terms of Use, or cause damage on or through the Website. You promise that none of your communications with or through the site will violate any local, state, national or international law.  You further promise that none of your communications with or through the site will infringe upon the rights of any third party or contain defamatory, libelous, abusive or obscene material.

Unless otherwise stated or set forth in the Terms of Use, CEP or its licensors own the intellectual property rights in the Website and all material on the Website, including, without limitation, text, photographs, videos, audio, or other content (collectively, “Content”).  All trademarks, logos, and service marks displayed on the Website are registered and unregistered Trademarks of CEP and/or third parties who have authorized their use (collectively the “Trademarks”).  Unless otherwise expressly permitted in the Terms of Use, you may not use, copy, reproduce, republish, duplicate, exploit, modify, edit, sell, rent, sub-license, publicly display, upload, post, transmit, distribute, or modify these Trademarks or Content in any way.  The use of the Trademarks or Content on any other website is strictly prohibited.  All of the Content contained on the Website is copyrighted except where explicitly noted otherwise.  CEP will aggressively enforce its intellectual property rights to the fullest extent of the law, including, without limitation, the seeking of criminal prosecution.  CEP neither warrants nor represents that your use of Content displayed on the Website will not infringe rights of third parties not owned by or affiliated with CEP.  Use of any Content on the Website for commercial purposes is expressly prohibited.  Further, use of or reliance on any materials on the Website is at your own risk.  All of these intellectual property rights are reserved.

Any material you submit to the Website will be deemed a grant of a royalty free, worldwide, non-exclusive right and license to use, reproduce, modify, display, transmit, adapt, publish, translate, create derivative works from and distribute these materials throughout the universe in any medium and through any methods of distribution, transmission and display whether now known or hereafter devised.  In addition, you warrant that all so-called “moral rights” have been waived.

The Website may contain hyperlinks to third-party websites.  CEP does not control or endorse these third-party websites, their content, any goods or services sold on those websites, or any views expressed within them.  Some of these websites may contain materials that are objectionable, unlawful, or inaccurate.  You acknowledge and agree that CEP is not responsible or liable for any content or other materials on these third-party websites.

    E.    Content Posted or Submitted by You

    Subject to express terms and conditions set forth in the Terms Use, including set forth in this Section I(E), as an additional feature of the Website, you may be permitted to submit, post, use, upload, and/or download information, content and/or materials onto, and/or to the owners or operators of, the Website (collectively, the “Services”).  Prior to being permitted to use the Services, you will be required to create an account and will be prompted to expressly agree to the Terms of Use by clicking “agree.”  If you do not agree to the Terms of Use, including, without limitation, the terms and conditions of use for the Services, do not click “agree,” and do not use the Services or the Website.

        1.    Account

Before using the Services, you will be required to create an account (“Account”) by providing a valid email address and choosing a screen name and password.  You agree that you are solely responsible for maintaining the confidentiality and security of your Account and password, and that you shall safeguard your password from access by others.  You agree that you are solely responsible for all activities that occur on or through your Account.  You agree to notify CEP of any security breach of your Account.  You agree to provide, maintain and update true, accurate, current and complete information about yourself as prompted by the registration processes.  You may not impersonate any person or entity or misrepresent your identity or affiliation with any person or entity, including, without limitation, using another person’s username, password, or other account information.  You agree that CEP shall not be liable or responsible for any losses arising out of the unauthorized use of your Account.  Further, you agree that you shall not access or use the account of a third-party without the third-party’s express written authorization, and that you shall use your Account and the Website for only lawful purposes.  You agree that CEP has the right, without liability to you, to disclose any registration data and/or Account information to law enforcement authorities, government officials, and/or a third party, as CEP believes, in its sole and absolute discretion, is reasonably necessary or appropriate to enforce and/or verify compliance with any part of the Terms of Use (including, without limitation, CEP’s right to cooperate with any legal process relating to your use of the Services and/or the Website, and/or a third-party claim that your use of the Services and/or the Website is unlawful and/or infringes such third party’s rights).  You agree to indemnify and hold harmless CEP for losses incurred by CEP or another party due to someone else using your Account as a result of your failure to use reasonable care to safeguard your password.

        2.    Use of Services

Once your Account is created, you will be permitted to use the Services, which include submitting proposed suggested projects (“Projects”) for potential inclusion in the Projects section of the Website, and for commenting on the Project or projects of other users in the Project section of the Website.  

            a.    Content Submitted or Posted by You

                (1)    You agree that, subject to the terms and conditions hereof, you will be permitted to submit, post, use, comment on, upload, and/or download information, content and/or materials (collectively, the “Materials”) onto, and/or to the owners or operators of, the Website.  For purposes of the Terms of Use, Materials shall include, without limitation, your submissions (including, without limitation, your Project); your participation, if any, in and/or presentation at the September 2015 Global Youth Summit Against Violent Extremism (“Global Youth Summit”); your posts; your use of the Website; your comments; your content; your uploads; your downloads; your name; your likeness; photographs of you; your voice; your biographical information; your items, ideas and presentations (including, without limitation, your Project or any presentation/submission, photo, video, audio, or written material); any statements made by you or your representatives in relation to the Project, in relation to your use of the Services and/or the Website, and/or in relation to the Global Youth Summit; and/or any video or other recording of you or your Project and/or presentation/submission at the Global Youth Summit; or any portion thereof.

                (2)    You agree that CEP reserves the right, but not the obligation, in its sole and absolute discretion, to use, publish, edit, delete, select, review, alter, monitor, revise, and/or disable, the Materials, including, without limitation, your Project, as CEP, in its sole and absolute discretion, may see fit, without notice or liability.

                (3)    You agree that your Materials or third-party Materials are the views of the author or poster.  They do not reflect the views of CEP.  CEP does not represent, warrant, guaranty or endorse the accuracy, reliability or completeness of such Materials, and CEP has no responsibility for the content of the Materials.  You agree that the Materials shall be your sole responsibility; shall not infringe or violate the rights of any other party or any laws, contribute to or encourage infringing or violating the rights of any other party or laws, or otherwise contribute to or encourage improper or unlawful conduct; and shall not be obscene, lewd, lascivious, filthy, inappropriate, violent, harassing, objectionable, or in poor taste.  You also agree that you have obtained all necessary rights, title and/or licenses regarding the Materials.  You acknowledge and agree that CEP also reserves the right, in its sole and absolute discretion, to remove, permanently delete, disable, and/or restrict or deny access to any Materials without your or any other user’s consent for any reason or no reason at all, including, without limitation, if such Materials violate any law, infringe or interfere with the rights of third parties, advocate illegal or violent acts, are obscene, lewd, lascivious, filthy, inappropriate, harassing, or explicit, or if the Materials degrade others on the basis of age, race, gender, class ethnicity, national origin, religion, sexual preference or disability, or are otherwise objectionable.  You acknowledge and agree that submission or posting of Materials that are obscene, inappropriate, defamatory, or that infringe any intellectual property right, trademark, copyright, privacy right, or other legal right of a third party is expressly prohibited.  You are hereby on notice that parental control protections (such as computer hardware, software, or filtering services) are commercially available that may assist you in limiting access to material that is harmful to minors.  These parental control protections can be found by, among other things, performing a search for parental control protections on your web search browser or other search engines, or other available search methods and mechanisms.
   
                (4)    You agree that you shall not submit or post any confidential, proprietary, trade secret, or copyrighted Materials without the express written authorization of the owner, and shall not post any Materials owned by a third party without the express written authorization of the owner.  CEP reserves the right, in its sole and absolute discretion, to remove any alleged or actual infringing material submitted or posted by a user of the website, including, without limitation, the infringing material posted by a repeat infringer, and to terminate the account of any user who violates the Terms of Use, repeatedly or otherwise.  You agree that CEP has no obligation to display on the Website any Materials, including, without limitation, Materials that are alleged to be infringing the rights of third parties.  Further, you agree that use of unauthorized or illegitimate content infringes the rights of others and may subject you to civil and criminal penalties, including, without limitation, possible monetary damages, for copyright infringement.
 
                (5)    In addition to any other rights set forth in the Terms of Use, you agree that CEP, its promotional partner(s), service providers, and each of their respective parent, subsidiary and affiliated entities, and the owners, officers, directors, employees, agents, subcontractors, representatives, successors, and assigns of each of them (the “CEP Parties”) may use the Materials for purposes of programs, projects, marketing, furthering or carrying out the mission of CEP, administration, compliance, publicity or promotion without financial or other compensation to you.

                (6)    In addition to any other rights set forth in the Terms of Use, you agree to grant the CEP Parties, an irrevocable, non-exclusive, perpetual, worldwide, royalty-free license to edit, publish, exhibit, promote, rerun, reproduce, use, syndicate, license, print, distribute and otherwise exploit the Materials, in any manner and in any and all formats and media now known or hereafter devised, without payment to you or any third party.
 
                (7)    You represent and warrant that (a) you have the full legal right, power and authority to grant to the CEP Parties the license(s) provided for herein, (b) you solely own or control to the exclusion of all other persons or entities the complete exhibition and other rights to the Materials for the purposes contemplated in this license(s), and (c) neither the Materials nor the exercise of the rights granted herein infringe upon, violate the intellectual property rights of, violate any right of privacy or publicity of, constitute a libel or slander against, or violate any common law or any other right of, any person or entity.

            b.    Release, Indemnification, and Limitation of Liability

                (1)    You agree that you use the Services and provide the Materials at your own risk (whether personal risk, safety risk, legal risk, or otherwise) without responsibility, liability or duty of any kind by or attributable to CEP or any third party.
                (2)    In addition to any other release or indemnification set forth in the Terms of Use, you agree to release, indemnify, and hold harmless the CEP Parties from and/or against any and all claims, liability, damages, judgments, demands, attorney’s fees and costs (including, without limitation, third-party claims, liability, damages, judgments, demands, attorney’s fees and costs) arising directly or indirectly from and/or relating to the your acceptance and performance or non-performance of the terms and conditions of the Terms of Use, your Project, your use of the Services, your Account, your participation in and/or presentation/submission at the Global Youth Summit, the Materials, and/or your use of the Website.

                (3)    IN ADDITION TO ANY OTHER THE LIMITATION OF LIABILITY SET FORTH IN THE TERMS OF USE (INCLUDING, WITHOUT LIMITATION, IN SECTION I(G)(2)), YOU AGREE THAT IN RELATION TO YOUR ACCEPTANCE AND PERFORMANCE OR NON-PERFORMANCE OF THE TERMS AND CONDITIONS FOR USE OF THE SERVICES, YOUR PROJECT, YOUR USE OF THE SERVICES, YOUR ACCOUNT, YOUR PARTICIPATION IN AND/OR PRESENTATION/SUBMISSION AT THE GLOBAL YOUTH SUMMIT, YOUR USE OF THE WEBSITE, AND/OR THE MATERIALS, THE CEP PARTIES SHALL NOT BE LIABLE IN ANY MANNER (WHETHER UNDER CONTRACT, TORT, OR OTHERWISE) FOR ANY LOSS OR DAMAGE OF ANY NATURE.  NOTWITHSTANDING THE ABOVE, THE CEP PARTIES SHALL NOT BE LIABLE IN ANY MANNER (WHETHER UNDER CONTRACT, TORT, OR OTHERWISE) FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.  THESE EXCLUSIONS FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, AND EXEMPLARY DAMAGES INCLUDE, WITHOUT LIMITATION, DAMAGES FOR (i) LOST PROFITS, REVENUE, INCOME, OR ANTICIPATED SAVINGS; (ii) LOSS OF INFORMATION OR CORRUPTION OF DATA, DATABASE OR SOFTWARE; (iii) LOSS OF REPUTATION OR GOODWILL, (iv) WORK STOPPAGE, (v) LOSS OF CONTRACTS OR BUSINESS RELATIONSHIPS, (vi) COMPUTER FAILURE OR MALFUNCTION, OR (vii) ANY OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF THE CEP PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY THEREOF AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED.  BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, THE CEP PARTIES’ LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.  YOUR SOLE AND EXCLUSIVE REMEDY SHALL BE TO DISCONTINUE YOUR USE OF THE WEBSITE.  YOU AGREE THAT THE EXCLUSIONS AND LIMITATIONS OF WARRANTY, LIABILITY AND DAMAGES SET OUT HEREIN ARE REASONABLE AND WILL PROTECT THE CEP PARTIES.  IF YOU DO NOT THINK THEY ARE REASONABLE, YOU MUST NOT USE THE WEBSITE, USE THE SERVICES AND/OR CREATE AN ACCOUNT.

            c.    Termination

If you fail, or CEP suspects that you have failed, to comply with any of the provisions of the Terms of Use, CEP, in its sole and absolute discretion, without notice to you may:  (i) terminate your Account; (ii) preclude access to the Services and/or the Website (or any part thereof), and/or (iii) otherwise terminate any rights, use or access relating to the Services and/or the Website.  CEP reserves the right, in its sole and absolute discretion, to modify, suspend, disable, and/or discontinue your Account and/or the Services (or any part or content thereof) at any time with or without notice to you, and the CEP Parties will not be liable to you or to any third party should CEP exercise such rights.

Notwithstanding anything to the contrary in the Terms of Use, you agree that CEP reserves the right, in its sole and absolute discretion, to terminate your Account or use of the Website at any time and for any reason.
Governing Law and Severability
    F.    Governing Law, Venue and Severability

        1.    Choice of Law and Exclusive Venue

The Terms of Use and any disputes arising out of and/or relating to the Terms of Use, the Website, the Services, the Materials, the Project, the Account, your participation, if any, in and/or presentation/submission at the Global Youth Summit, and/or your use of the Website shall be exclusively governed by and construed in accordance with the laws of New York, without regard to its conflict of laws rules.  You expressly agree that the sole and exclusive jurisdiction and venue for any claim or dispute arising out of and/or relating to the Terms of Use, the Website, the Services, the Materials, the Project, the Account, your participation, if any, in and/or presentation/submission at the Global Youth Summit, and/or your use of the Website shall be exclusively in the state or federal courts located in New York, New York, and you further expressly agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such claim or action, and waive any objection to personal jurisdiction and any defense of improper venue, forum non conveniens and/or inconvenient forum.

        2.    Severability, Waiver, Binding on Successor, Survivability

If any provision of these Terms of Use is found to be invalid or unenforceable by any court having competent jurisdiction, the invalidity or unenforceability of such provision shall not affect the validity or enforceability of the remaining provisions of the Terms of Use, which shall remain in full force and effect.  No waiver of any provision in the Terms of Use shall be deemed a further or continuing waiver of such provision or any other provision. You agree that any failure by the CEP Parties to enforce your strict performance of any provision of the Terms of Use shall not constitute a waiver of the CEP Parties’ right to subsequently enforce such provision or any other provision of the Terms of Use.  You agree that the Terms of Use shall be binding upon and inure to the benefit of you and your successor and assigns, and the CEP Parties.  You agree that any provisions of the Terms of Use that would, by their nature, survive the expiration or termination of the Terms of Use shall so survive.

    G.    Warranties and Limitations of Liability and Damages

1.    Exclusion of Warranties
    
The Website and the Content are provided on an “as is” basis.  TO THE FULLEST EXTENT PERMITTED BY LAW, THE CEP PARTIES DISCLAIM ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES’ RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE.  APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.  The CEP Parties cannot and do not guarantee or warrant that:  (a) the Website will be reliable, accurate, complete, or updated on a timely basis; (b) the Website will be free of human and machine errors, omissions, delays, interruptions or losses, including, without limitation, loss of data; (c) any files available for downloading from the Website will be free of infection by viruses, worms, Trojan horses, or other codes that manifest contaminating or destructive properties; or (d) the functions or services performed on the Website will be uninterrupted or error-free or that defects in the Website will be corrected.  Nothing on the Website constitutes or is meant to constitute advice of any kind.

        2.    Limitation of Liability

IN ADDITION TO ANY OTHER THE LIMITATION OF LIABILITY SET FORTH IN THE TERMS OF USE, THE CEP PARTIES’ ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY WITH RESPECT TO ANY DISPUTE WITH RESPECT TO YOUR USE OF THE WEBSITE IS TO DISCONTINUE YOUR USE OF THE WEBSITE.  TO THE EXTENT THAT THE WEBSITE AND THE CONTENT AND SERVICES ON THE WEBSITE ARE PROVIDED FREE-OF-CHARGE, THE CEP PARTIES SHALL NOT BE LIABLE IN ANY MANNER (WHETHER UNDER CONTRACT, TORT, OR OTHERWISE) FOR ANY LOSS OR DAMAGE OF ANY NATURE.  NOTWITHSTANDING THE ABOVE, THE CEP PARTIES SHALL NOT BE LIABLE IN ANY MANNER (WHETHER UNDER CONTRACT, TORT, OR OTHERWISE) FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM AND/OR RELATING TO YOUR USE OF THE WEBSITE OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE WEBSITE.  THESE EXCLUSIONS FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, AND EXEMPLARY DAMAGES INCLUDE, WITHOUT LIMITATION, DAMAGES FOR (i) LOST PROFITS, REVENUE, INCOME, OR ANTICIPATED SAVINGS; (ii) LOSS OF INFORMATION OR CORRUPTION OF DATA, DATABASE OR SOFTWARE; (iii) LOSS OF REPUTATION OR GOODWILL, (iv) WORK STOPPAGE, (v) LOSS OF CONTRACTS OR BUSINESS RELATIONSHIPS, (vi) COMPUTER FAILURE OR MALFUNCTION, OR (vii) ANY OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF THE CEP PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY THEREOF AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED.  BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, THE CEP PARTIES’ LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

By using the Website, you agree that the exclusions and limitations of warranty, liability and damages set out in the Website and the Terms of Use are reasonable and will protect the CEP Parties.  If you do not think they are reasonable, you must not use the Website.

    H.    Indemnification, Defense and Hold Harmless
Indemnification

In addition to any other indemnification set forth in the Terms of Use, you agree to indemnify, defend, and hold the CEP Parties harmless from and against any and all claims, including, without limitation, third party claims, damages, costs, and liabilities, including reasonable attorneys’ fees arising out of, or in connection with, your violation of the Terms of Use.

    I.    Termination of Use

CEP has the right to terminate your account and/or access to the Website for any reason or no reason at all, including, without limitation, if CEP, in its sole and absolute discretion, considers your use to be unacceptable, or in the event of any breach by you of the Terms of Use.  CEP may, but shall be under no obligation to, provide you a warning prior to termination of your use of the Website.

    J.    Entire Agreement

The Terms of Use (which by definition include the Privacy Policy) constitute the entire agreement between you and CEP in relation to your use of the Website and the subject matter hereof, and supersedes all previous agreements in respect of your use of the Website and the subject matter hereof.

II.    Privacy Policy

    A.    Generally

CEP is sensitive to the privacy concerns of visitors to its Website. The purpose of this Privacy Policy is to describe what types of personal information we collect from visitors to the Website, the purposes for which we use the information, what rights you have regarding your personal information, and to whom and under what circumstances we disclose your personal information.

The Website is operated by CEP. Certain companies including, without limitation, promotional, internet and public relations service providers and other independent contractors (collectively, “Service Providers”) assist CEP with respect to its Website.  In this Privacy Policy, CEP and Service Providers are referred to collectively as “we” or “our.”  CEP is the sponsor of the Website.  Service Providers will develop and/or host the Website, provide other services such as customer service support for the Website or analysis of the performance of the Website.     B.    Collection and Use of Non-Personal Information

The type and amount of information we receive about you depends entirely on how you use the Website.  For instance, you may read and, if expressly permitted via the terms and conditions of the Terms of Use, download information provided on the Website without providing any personal information at all.  Certain non-personal information about the Website visits is recorded by the standard operation of the Internet servers on which the Website is hosted.  The non-personal information that we collect may include IP addresses, the type of operating system in use (e.g., Macintosh or Windows), the type of browser being used by the visitor (e.g., Netscape or Internet Explorer), the number and frequency of visitors to the Website, and the site the visitor was on immediately before visiting the Website.  When you view the Website or use website features, we may collect certain non-personal information from you by using small text files known as cookies.  We use cookies for several purposes, such as to recognize visitors to our Website, to determine the number of unique visitors to our Website, to ascertain which Website pages they visit, and to conduct internal reviews of the Website.  We may associate information we collect via cookies with the personal information we collect online (we explain the personal information we collect online in the “Collection of Personal Information” section of this Privacy Policy below).  We may use the combined information, for example, to personalize your experience on the Website, to personalize marketing communications or other communications we may send you, to measure activity and traffic patterns on the Website in order to continually improve the visitor's experience, and in general, to further CEP’s mission.  You are always free to decline cookies, but in doing so you may not be able to use certain features on the Website.  The “help” segment of the toolbar on most browsers will tell you how to configure your browser to not accept new cookies, how to have the browser inform you when you receive a new cookie, and how to erase cookies from your hard drive.
